1.Acceptance of These Terms

By accessing this website, requesting a quotation, signing a proposal or purchase order, or paying an invoice, you confirm that you have read, understood and agree to be bound by these Terms and Conditions. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

Where a signed agreement, statement of work or proposal between you and HN Software Solutions covers the same subject matter, that document prevails over these Terms to the extent of any conflict.

2.About the Business and the Services

HN Software Solutions is a sole proprietorship registered in Pakistan and owned by Azhar Ali. We provide custom software development and IT services, including but not limited to:

  • Design, development and delivery of web applications and websites
  • Design, development and delivery of mobile applications
  • Cloud infrastructure, DevOps and automation services
  • Artificial intelligence and machine-learning features, including retrieval-augmented assistants
  • Backend and API development, integration with third-party systems
  • Maintenance, support, bug fixing and enhancement of existing software
  • Consultancy, audits, and technical advisory work

The specific scope, deliverables, timelines and fees for any engagement are set out in the written proposal, statement of work or purchase order agreed with you.

3.Proposals, Quotations and Estimates

Proposals and quotations are valid for 30 days from the date of issue unless stated otherwise. Estimates of cost or duration are good-faith projections, not guarantees, and are based on the information and assumptions available to us at the time they are prepared.

Work that falls outside the agreed scope, or that becomes necessary because requirements changed after the proposal was issued, is treated as a change request. We will describe the change and its cost and timeline impact in writing and will not proceed with it until you approve it.

4.Fees, Invoicing and Payment

Fees are quoted in the currency stated in the proposal and are exclusive of any taxes, duties or bank charges that may apply in your country. Where a deposit or milestone schedule applies, work begins once the deposit is received.

Invoices are payable within the period stated on the invoice, unless otherwise agreed in writing. If payment is overdue, we may pause work or suspend support until the balance is cleared, and we may charge for time lost as a result.

5.Client Responsibilities

To deliver work on time, we rely on you to provide, when reasonably needed:

  • Timely access to systems, repositories, servers, credentials and accounts
  • Content, brand assets, product decisions and domain names
  • A named point of contact who can approve work and answer questions
  • Feedback, reviews and test-approval within the agreed review windows

Delays caused by missing information, unavailable access or late approvals extend the delivery timeline accordingly.

6.Third-Party Services and Licences

Our work may depend on third-party platforms such as hosting providers, cloud vendors, SMS or email gateways, payment providers, and AI or map services. Those services are governed by their own terms and pricing, which are your responsibility unless the proposal states otherwise. We are not responsible for outages, price changes, account suspensions or policy changes made by third-party providers.

7.Intellectual Property and Ownership

On receipt of full payment for the relevant invoice, ownership of the custom code, designs and documentation we create for you passes to you. You retain ownership of everything you provide to us, and you grant us permission to use it for the purpose of delivering the work.

We retain ownership of our pre-existing tools, libraries, components, frameworks, methodologies and know-how, and grant you a perpetual, royalty-free licence to use them as part of the delivered product. Where a project is used to demonstrate our capabilities, we may reference it in our portfolio with your prior approval.

8.Confidentiality

Each party will keep the other's confidential information private, use it only for the engagement, and protect it with reasonable care. This obligation does not apply to information that is already public, that was known before disclosure, or that must be disclosed by law or by a court or regulator.

9.Warranties and Disclaimers

We warrant that work will be performed in a professional and workmanlike manner, consistent with generally accepted industry practice. Where a defect appears in delivered work within 30 days of handover, we will correct it at no additional charge.

Apart from that, the software and services are provided "as is". We do not warrant that the software will be entirely error-free or uninterrupted, that it will meet every expectation of a business outcome, or that any AI-generated output is accurate or fit for a particular purpose. You are responsible for reviewing, testing and approving work before it is used in production.

10.Limitation of Liability

Neither party is liable for indirect, incidental, special or consequential losses, or for lost profit, lost revenue, lost data or loss of business opportunity. To the extent permitted by law, our total aggregate liability arising out of or in connection with an engagement is limited to the fees you actually paid to us for the part of the work that gave rise to the claim.

11.Term and Termination

An engagement runs from the date it is agreed until the agreed deliverables are handed over and accepted, or until it is ended as described below. Either party may end an engagement by giving written notice. For ongoing or retainer work, either party may end the arrangement by giving at least 14 days' written notice.

We may end an engagement immediately if you breach these Terms, if payment remains unpaid after written reminder, or if continued work would expose us to legal, security or reputational risk.

12.Refunds and Cancellations

Cancellations and refunds are handled as described in our Refund and Cancellation Policy, which forms part of these Terms. Please read that policy before commissioning work.

13.Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

14.Changes to These Terms

We may update these Terms from time to time. The version published on this page at the time you commission work applies to that engagement, unless we agree something else in writing. Material changes will be shared with active clients before they take effect.
